TERMS AND CONDITIONS OF SERVICE (INDIA)

King Gate Secure Pvt. Ltd.

Services provided to you (“the Customer”) by King Gate Secure Pvt. Ltd. are governed by these Terms and Conditions of Service (“Agreement”). By placing an Order with King Gate Secure Pvt. Ltd., you agree to be legally bound by this Agreement.

A binding contract is formed once the Order or Service Agreement is signed by both parties. This Agreement shall prevail over any other terms unless expressly agreed in writing by King Gate Secure Pvt. Ltd.

1. PRICE

1.1 Prices for Services shall be as mentioned in the Order.
1.2 If no price is specified, standard company rates applicable at the time of service shall apply.
1.3 All prices are exclusive of applicable taxes, including GST, unless stated otherwise.
1.4 Any government taxes, levies, duties, or charges shall be borne by the Customer.
1.5 Any additional work not included in the agreed scope shall be chargeable separately.
1.6 Quotations are valid only when confirmed in writing by the Company.


2. PAYMENT

2.1 Payment terms shall be as mentioned in the Order or Invoice.
2.2 In absence of specific terms, payment must be made within 14 days of invoice date.
2.3 Payments may be made via bank transfer, UPI, cheque, or other approved methods.
2.4 Delayed payments beyond due date shall attract interest at 18% per annum or maximum permitted under Indian law.
2.5 All payments shall be made in Indian Rupees (INR) only.


3. SERVICES

3.1 The Company reserves the right to modify, improve, or substitute Services if required to maintain quality and efficiency.
3.2 Services shall be provided as per agreed scope in the Order.


4. ACCEPTANCE

4.1 Services shall be deemed accepted unless written complaint is received within 7 days of completion.
4.2 Any issues must be supported with reasonable evidence.


5. WARRANTY & LIMITATION OF LIABILITY

5.1 In case of defective service, the Company shall re-perform or correct the service.
5.2 The Company’s total liability shall be limited to the amount paid for the specific service.
5.3 The Company shall not be liable for indirect, incidental, or consequential damages including loss of profit or business.
5.4 If any law implies conditions that cannot be excluded, liability shall be limited to re-supply of services or refund of service cost.
5.5 These terms are subject to applicable Indian laws including the Indian Contract Act, 1872 and other applicable legislation.


6. DELAY & FORCE MAJEURE

6.1 Services will be provided during normal business hours unless otherwise agreed.
6.2 The Company shall not be responsible for delays caused by events beyond its control, including natural disasters, strikes, government actions, pandemics, or technical failures.
6.3 In such cases, timelines shall be extended accordingly.
6.4 Any additional costs caused by Customer delays or instructions shall be payable by the Customer.


7. DEFAULT

The Company may suspend or terminate Services if the Customer:

  • Fails to make payment on time
  • Becomes insolvent or bankrupt
  • Breaches material terms of the Agreement
  • Misuses services or violates applicable laws

8. LICENCES & COMPLIANCE

8.1 The Customer is responsible for obtaining all necessary permissions, approvals, or licences required for use of services.
8.2 The Customer must comply with all applicable laws, rules, and regulations in India.


9. GENERAL TERMS

9.1 This Agreement, along with the Order, constitutes the entire contract between the parties.
9.2 No modification shall be valid unless made in writing and signed by both parties.
9.3 If any clause is found invalid, the remaining clauses shall remain valid.
9.4 This Agreement shall be governed by the laws of India.
9.5 Any disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996.
9.6 The seat and venue of arbitration shall be New Delhi, India (or your chosen city).
9.7 Courts at Delhi (or your registered business location) shall have jurisdiction.


10. DEFINITIONS

  • “Business Day” means any day except Saturday, Sunday, and public holidays in India.
  • “Order” means the approved service request or contract signed by the Customer.
  • “Services” means security services or any other services provided by King Gate Secure Pvt. Ltd.
